涉外贸易法律预警:千万别乱签国际货物买卖合同!外国客商必看的翻车真实案例


01 案例背景

近期,我们处理了一起典型的跨境贸易合同审核案件:一名境外农产品出口商,与一家中国香港注册的贸易企业签订高货值出口合同,货物约定交付至香港港口,交易方式为50%预付款+50%尾款。

这份合同表面看似条款完整、交易模式常规,但经过我们团队全面审核后,发现十项致命法律漏洞。对于作为收款方、发货方的境外卖方而言,若直接履约发货,将面临极高的钱货两空风险。

值得强调的是:本次交易的境外卖方主体资质合法、手续齐全,无任何合规问题,所有风险全部集中在香港买方及合同条款本身。

02 十大核心致命法律风险

1. 香港买方为高危空壳公司,无履约保障

该香港买方为近期新注册企业,无实际经营场地、无实缴资本、无公开可查的股东及董事备案信息,注册地址为香港秘书公司虚拟挂靠地址,属于典型的离岸空壳公司。企业无实际资产、无商业履约记录,一旦出现拒付货款、弃货、失联等情况,卖方无有效追责、执行途径。

2. 买方印章不符合香港法律,完全无效

合同落款处加盖的是大陆内地制式红色五星圆形公章,该印章为内地私刻印章,不符合香港《公司条例》法定用章规范。香港合法商事签章仅为董事签字章、英文条形签约章或官方钢印,此五星公章在香港司法体系中不具备任何法律效力,无法代表公司意志。

3. 仅有未知中文签名,授权完全无法核实(核心高危)

合同买方落款仅有一个不知名中文手写签名,全程无任何辅助证明文件:无签字人护照/身份证明、无公司任职证明、无董事会授权决议、无官方授权委托书。

外贸签约核心原则:未知人员的单方签名,不具备公司约束力。目前无法核实签名人身份、任职资格、签约权限,属于典型的无权代理。后续买方公司可合法否认整份合同效力,拒绝履行付款、收货义务,卖方维权无据。

4. 币种书写不规范,存在结算作废风险

合同中货币单位(YAN)使用错误非标准拼写,并非ISO国际通用法定货币代码。银行跨境结算、海关备案、商事仲裁、司法诉讼均不认可该币种表述,极易引发无法结汇、资金退回、买方恶意拒付、货款金额认定无效等纠纷。

5. 付款条款模糊,收款安全完全无保障

合同仅笼统约定付款方式为银行卡支付,未明确限定必须支付至卖方对公账户。该模糊表述存在巨大漏洞,买方可借机要求通过私人账户、第三方个人账户结算,不仅违反跨境贸易合规要求,一旦发生纠纷,资金流向无法溯源,卖方货款难以追回。

6. 违约金条款极度不公平,权责完全不对等

合同设置单边惩罚条款:仅约定卖方延迟交货需承担高额违约金,却完全免除买方所有违约责任。买方拒收货物、无理由拒付尾款、拖延付款、港口弃货等全部违约行为,均无需承担任何赔偿、罚金责任,属于法律上典型的显失公平条款,卖方完全处于被动兜底地位。

7. 无买方弃货追责条款,所有亏损由卖方承担

合同未约定买方港口弃货、逾期不提货的赔偿责任。若货物运抵香港港口后,买方恶意不提货、弃货,由此产生的全部滞港费、仓储费、退运运费、货物销毁费用等所有经济损失,将全部由境外卖方独自承担。

8. 无标准化质检条款,买方可随意恶意扣款

合同未明确约定货物等级、质量参数、行业标准,未约定第三方质检机构、验货时限、质量异议有效期。买方收货后,可随意捏造质量问题,以此为借口克扣尾款、拒绝付款、要求退货,卖方无任何合同依据抗辩。

9. 争议解决条款法定无效,跨境维权无路

合同仅模糊约定“通过国际仲裁解决纠纷”,未明确指定仲裁机构、仲裁地点、适用仲裁规则。根据中国、香港两地法律规定,无明确约定的仲裁条款直接归于无效。一旦产生货款纠纷,卖方无法启动仲裁程序,只能选择高成本、长周期的跨境诉讼,维权难度极大、执行成功率极低。

10. 跨境费用权责划分模糊,隐性风险极高

合同仅约定出口国清关费用由卖方承担,但未明确划分香港港口清关、仓储、转运、滞港等一系列后续费用的承担主体。权责空白将导致买方推诿责任,所有隐性费用风险最终转嫁至卖方。

03 最终法律结论

1、境外卖方主体资质合法合规,出口交易资质无任何瑕疵,无自身风险;

2、香港买方为高风险空壳主体,无履约实力与资信保障;

3、买方签章无效、签约人身份不明、无合法授权,合同对买方无强制约束力;

4、整份合同权责严重失衡、条款漏洞百出,完全偏向买方;

5、在未修改、补正合同的前提下履约发货,卖方钱货两空风险极高

04 境外出口商合规风控十条建议

1、签约前务必核查香港/内地买方的注册信息、董事备案、经营状态、资信记录,杜绝空壳公司合作;

2、拒绝认可内地制式五星圆章,香港公司签约仅认可法定英文签章+董事签字;

3、严格核验签约人身份信息、任职资质,必须索要官方授权委托书,杜绝不明人员单方签名签约;

4、统一使用ISO标准货币代码(CNY/USD),杜绝模糊、错误币种表述;

5、明确约定所有货款仅可支付至卖方对公账户,禁止私人、第三方账户结算;

6、设置双向对等违约金条款,买卖双方违约需承担同等责任;

7、新增买方弃货、逾期提货、拒付货款的全额赔偿条款;

8、明确货物质量标准、第三方质检机构、异议期限,锁定质量争议边界;

9、约定明确有效的仲裁条款(HKIAC/CIETAC),保障跨境维权可执行;

10、细化全流程费用、风险划分,明确港口、清关、仓储、滞港等所有费用的承担主体。

05 结语

跨境贸易签约,从来不是简单的流程手续,而是风险与权益的最终锁定。面对香港及中国内地买家,境外出口商切勿因交易常规、对方话术放松风控。一纸漏洞合同,足以让一笔盈利订单,变成无法挽回的巨额亏损。

International Trade Legal Alert: Fatal Contract Loopholes in Hong Kong Buyer Deals

Case Background

We recently reviewed a cross-border export contract between a legitimate foreign agricultural exporter and a newly registered Hong Kong trading company. Although the transaction seemed standard with a 50% deposit and 50% balance payment term, the contract contains 10 fatal legal flaws that put the foreign seller at extreme risk of losing both goods and payment.

It is critical to clarify: The foreign seller is fully legal and compliant. All risks arise from the Hong Kong buyer and defective contract terms.

Key Legal Risks

1. High-risk shell company buyer

The Hong Kong buyer is a newly established entity with no actual business operation, no paid-in capital, no public shareholder or director information, and only a virtual registered address. It has no enforceable assets or business credibility.

2. Invalid company stamp

The contract bears a Mainland Chinese-style red five-pointed star stamp. Under the Hong Kong Companies Ordinance, this stamp has no legal validity and cannot bind the Hong Kong company.

3. Unverified unknown Chinese signature (core risk)

The contract is signed only by an unknown handwritten Chinese name. No ID verification, no passport record, no company position proof, and no official Power of Attorney (POA) is attached.

The signatory’s identity and authorization cannot be confirmed, constituting unauthorized agency. The buyer company can legally deny the entire contract.

4. Incorrect currency wording

The contract uses a non-standard currency expression that does not conform to ISO international standards, resulting in potential settlement failure and payment refusal risks.

5. Unsafe payment terms

The vague “bank card” payment rule allows private or third-party transfers, leaving the seller’s payment security completely unprotected.

6. Unconscionable one-sided penalty clause

Only the seller is liable for delivery delay penalties. The buyer bears no liability for refusal of goods, payment default, delayed payment or cargo abandonment.

7. No liability for buyer’s cargo abandonment

All port storage fees, demurrage and return costs caused by the buyer’s refusal to take delivery shall be solely borne by the seller.

8. Missing quality inspection standards

Without clear product specifications, third-party inspection rules and quality objection periods, the buyer can arbitrarily deduct payment or reject goods with fake quality claims.

9. Invalid dispute resolution clause

The blank “international arbitration” clause is legally void for lacking designated arbitration institution, venue and rules. Cross-border litigation is costly and difficult to enforce.

10. Unclear cost and risk allocation

Hong Kong customs clearance, storage and transit liabilities are undefined, leaving the seller exposed to unpredictable additional costs.

Legal Conclusion

The foreign seller is fully compliant. The Hong Kong buyer is a high-risk shell entity with invalid sealing and unverified signing authority. The contract is severely unfair and contains multiple fatal loopholes. Performance under this contract will lead to an extremely high risk of no payment after shipment.

Key Recommendations for Foreign Exporters

1. Verify the buyer’s registration, director records and business credibility before signing;

2. Reject Mainland-style stamps; accept only legal Hong Kong company authorized seals and director signatures;

3. Verify the signatory’s identity and official POA strictly;

4. Adopt standard ISO currency codes (CNY/USD);

5. Mandate all payments to the seller’s official corporate account only;

6. Set equal penalty obligations for both parties;

7. Add full compensation clauses for buyer’s cargo abandonment and payment default;

8. Clarify product quality standards and inspection procedures;

9. Apply enforceable arbitration rules (HKIAC/CIETAC);

10. Clearly allocate all cross-border logistics, customs and port risk costs.
